Terms of Use and Conditions of Sale

These Terms of Use and Conditions of Sale ("Terms") govern your access to and use of ICOINBOX.com, including its website, products, BETA features, cryptocurrency payment functions, personalized Curated Surprise Box purchasing experience, digital assets, supporter features, content, and related services (collectively, the "Services").

"ICOINBOX," "we," "us," and "our" refer to the operator of ICOINBOX.com. "You" and "your" refer to any person who accesses or uses the Services.

Please read these Terms carefully. By accessing the website, connecting a wallet, placing an order, purchasing an ICOINBOX digital asset, submitting a cryptocurrency contribution where such a feature is offered, checking an acceptance box, or otherwise using the Services, you acknowledge that you have read, understood, and agreed to these Terms.

If you do not agree to these Terms, you must not access or use the Services.

1. ELIGIBILITY

You may use transactional portions of the Services only if:

  • You are at least eighteen years old or have reached the legal age of majority in your jurisdiction, whichever is higher;
  • You have the legal capacity to enter into a binding agreement;
  • You are not prohibited from using the Services under applicable law;
  • You are not located in, ordinarily resident in, or acting on behalf of a jurisdiction or person subject to applicable sanctions or trade restrictions; and
  • Your use of the Services complies with the laws applicable to you.

The Services are not directed to children. Individuals under eighteen years of age may not connect a wallet, make purchases, submit cryptocurrency contributions, acquire ICOINBOX NFTs, or otherwise use transactional features.

If you use the Services on behalf of a business or other organization, you represent and warrant that you are authorized to bind that organization to these Terms.

2. BETA AND EXPERIMENTAL PLATFORM DISCLOSURE

ICOINBOX is currently an early-stage beta platform and experimental crypto-commerce project. The Services are not a finished or fully developed marketplace.

During the beta phase:

  • Features may be incomplete, experimental, unavailable, inaccurate, delayed, or subject to errors;
  • Product selection and order capacity may be limited;
  • We may limit the number of orders accepted during any period;
  • Website functionality, product categories, payment methods, suppliers, fulfillment arrangements, pricing, policies, branding, and features may change;
  • Certain features may be suspended, removed, redesigned, or discontinued;
  • The website may experience maintenance, interruptions, technical failures, or reduced performance; and
  • Prior descriptions of planned features may become outdated.

You voluntarily participate in the beta phase and accept the ordinary technical and operational risks associated with an early-stage platform.

Nothing in this Section limits any right that cannot legally be waived.

3. NATURE OF ICOINBOX

ICOINBOX is developing a crypto-only commerce experience centered on personalized Curated Surprise Box orders for real-world products and selected blockchain-based digital collectibles.

ICOINBOX is not:

  • A bank;
  • A cryptocurrency exchange;
  • A broker-dealer;
  • An investment adviser;
  • A financial institution holding assets on your behalf;
  • A fiduciary;
  • A charitable organization; or
  • A provider of legal, tax, accounting, investment, or financial advice.

No relationship of partnership, joint venture, agency, employment, fiduciary duty, or franchise is created by your use of the Services.

4. GEOGRAPHIC AVAILABILITY

The availability of the Services does not mean that the Services, any product, any NFT, or any payment method is lawful or available in every jurisdiction.

You are responsible for determining whether you may lawfully access and use the Services.

We may restrict, block, suspend, or discontinue access from any country, state, territory, region, Internet Protocol address, wallet address, or user at any time when we determine that doing so is appropriate for legal, compliance, security, fraud-prevention, operational, or risk-management reasons.

5. SANCTIONS, ANTI-MONEY-LAUNDERING, AND SOURCE-OF-FUNDS REPRESENTATIONS

By using the Services, you represent and warrant that:

  • You are not identified on any applicable sanctions, blocked-person, restricted-party, or prohibited-person list;
  • You are not owned or controlled by, and are not acting on behalf of, a sanctioned or restricted person;
  • You are not accessing the Services from a jurisdiction in which the applicable transaction is prohibited;
  • The cryptocurrency or other assets you use were obtained lawfully;
  • You are not using the Services to conceal, disguise, launder, transfer, or facilitate proceeds of unlawful activity; and
  • You will not use the Services to evade sanctions, taxes, reporting duties, court orders, or regulatory requirements.

We may use third-party tools to screen transactions, wallet addresses, locations, and activity. We may request identity, transaction, source-of-funds, or other compliance information.

We may reject, suspend, block, hold, cancel, or report a transaction when required or reasonably considered necessary under applicable law. Assets legally required to be blocked or frozen may not be returned unless authorized by the appropriate governmental authority.

6. CRYPTOCURRENCY PAYMENTS

Certain ICOINBOX transactions may be completed using supported cryptocurrencies.

Before submitting a transaction, you are solely responsible for confirming:

  • The correct blockchain network;
  • The correct cryptocurrency;
  • The correct amount;
  • The correct receiving address;
  • The accuracy of all wallet and transaction details; and
  • That your wallet has sufficient funds to cover both the purchase amount and applicable network fees.

Blockchain transactions are generally irreversible. ICOINBOX cannot cancel, reverse, modify, or recover a transaction after it has been confirmed on the applicable blockchain.

ICOINBOX is not responsible for losses caused by:

  • Incorrect wallet addresses;
  • Use of an unsupported token or network;
  • Transfers made outside the official checkout process;
  • User error;
  • Compromised wallets or private keys;
  • Smart-contract failure;
  • Wallet-provider failure;
  • Blockchain congestion;
  • Network forks, reorganizations, outages, or attacks;
  • Delayed or failed confirmations;
  • Exchange or payment-provider failures; or
  • Unauthorized transactions originating from your wallet.

You must never send funds to an address that is not displayed through an official ICOINBOX checkout page or otherwise expressly identified by ICOINBOX as an authorized address.

7. NETWORK FEES AND THIRD-PARTY CHARGES

You are responsible for gas fees, blockchain network fees, wallet fees, marketplace fees, conversion fees, exchange fees, taxes, and other third-party charges associated with your transaction.

Unless required by law, network fees and third-party fees are nonrefundable because ICOINBOX does not receive or control them.

Displayed estimates of fees, confirmation times, cryptocurrency conversion rates, or blockchain conditions are informational only and may change before a transaction is confirmed.

8. CRYPTOCURRENCY VOLATILITY

Cryptocurrency prices may change substantially within short periods.

Where a product or service is priced by reference to U.S. dollars or another fiat currency, the amount of cryptocurrency required may be calculated using a rate supplied by ICOINBOX or a third-party payment provider at or near the time of checkout.

The applicable order price is the price confirmed during checkout, subject to correction of obvious errors.

ICOINBOX is not responsible for gains or losses resulting from changes in cryptocurrency value before, during, or after a transaction.

9. CURATED SURPRISE BOX PURCHASES

Each $99 ICOINBOX Curated Surprise Box contains one to three high-quality, brand-new consumer products selected with your preferences in mind. The number of products depends on the curated selection, not chance.

Products selected for ICOINBOX Curated Surprise Boxes are high-quality, brand-new consumer products commonly sold through major online retailers and brick-and-mortar stores.

ICOINBOX does not guarantee any specific retail value, reference price, discount, or value multiple for a Curated Surprise Box unless expressly stated on the applicable product page or during checkout.

By purchasing a Curated Surprise Box, you understand and agree that:

  • You will not know the exact products before delivery;
  • The number of products in your Curated Surprise Box may be one, two, or three, depending on the curated selection;
  • Receiving fewer products than another customer does not by itself mean that your order is incomplete or defective;
  • Products received by different customers may vary;
  • Product brands, models, colors, sizes, packaging, features, and specifications may differ;
  • Your preferences guide the selection process but do not guarantee any particular product, brand, model, category, color, size, feature, or specification;
  • Personalization does not mean that you are ordering or reserving specific products;
  • Product images may be representative rather than images of the exact products delivered; and
  • Personal preferences, expectations, or subjective assessments of the usefulness, desirability, or perceived value of any product received do not create a right to cancellation, return, or refund.

Every successfully fulfilled Curated Surprise Box order includes one to three physical products. Product count is determined by the curated selection and is not a prize, random reward, or measure of value. Curated Surprise Boxes are not wagers, lottery tickets, sweepstakes entries, cash prizes, or promises of financial gain.

No cash alternative is available for Curated Surprise Box products unless required by law.

Additional order, shipping, claim, and refund terms are stated in the ICOINBOX Curated Surprise Box Order & Refund Policy, which is incorporated into these Terms by reference.

10. PRODUCT CONDITION AND INVENTORY

Each product selected for an ICOINBOX Curated Surprise Box is intended to be brand-new and in new, usable condition when selected and shipped.

Products selected for ICOINBOX Curated Surprise Boxes are high-quality, brand-new consumer products commonly sold through major online retailers and brick-and-mortar stores.

Product availability may change without notice. We do not guarantee that any particular product, brand, model, category, color, size, feature, or specification will remain available or be selected for an order.

Product pages may contain additional transaction-specific information. You should review the applicable product page before purchasing.

11. PRICES AND PRODUCT INFORMATION

We attempt to present accurate prices, product information, availability, descriptions, and images. Errors may nevertheless occur.

We may correct an error, update information, or cancel an affected order before shipment. If we cancel a paid physical-product order because of a pricing, inventory, or description error, we will issue the applicable refund in accordance with Section 17 and the Curated Surprise Box Order & Refund Policy.

Any product value, reference price, promotional statement, or other product-specific representation applies only when expressly stated on the applicable product page or during checkout.

Product images, packaging, and examples may be illustrative and may not depict the exact products delivered unless expressly stated otherwise.

12. ORDER SUBMISSION AND ACCEPTANCE

Submitting an order is an offer to purchase the selected product under these Terms.

An automated acknowledgment, transaction hash, payment notification, order number, or confirmation email confirms that we received the order or payment. ICOINBOX may still review, reject, limit, or cancel an order before shipment for a reason permitted by these Terms.

After payment has been successfully confirmed, the Curated Surprise Box product-selection and order-preparation process may begin. A customer may not cancel a paid Curated Surprise Box order except as expressly stated in the Curated Surprise Box Order & Refund Policy or required by applicable law.

We may reject or cancel an order before shipment for reasons including:

  • Inventory unavailability;
  • Pricing or description errors;
  • Payment failure;
  • Unsupported cryptocurrency or network;
  • Fraud or security concerns;
  • Sanctions or legal restrictions;
  • Suspected abuse;
  • Shipping limitations;
  • Duplicate or excessive orders; or
  • BETA-stage order limits.

If we reject or cancel a paid physical-product order, we will provide the applicable refund subject to these Terms, the Curated Surprise Box Order & Refund Policy, and applicable law.

13. ORDER LIMITS AND REFUSAL OF SERVICE

We may limit purchases by person, household, wallet, payment method, shipping address, billing information, geographic area, device, or order.

We may refuse service, cancel orders, or restrict access when reasonably necessary to prevent fraud, abuse, manipulation, unauthorized resale, sanctions violations, technical disruption, or other prohibited activity.

We will not refuse service for a reason prohibited by applicable law.

14. SHIPPING AND DELIVERY

During BETA, ICOINBOX ships Curated Surprise Box orders only to eligible addresses within the United States.

Orders are generally prepared within 2-3 business days. Estimated transit time is 5-8 business days after order preparation is complete. Packages are generally delivered Monday through Friday.

Depending on the curated selection and fulfillment arrangements, a Curated Surprise Box order may be shipped in one or more packages. Packages may be shipped separately, may use different carriers, and may arrive on different dates.

Delivery dates displayed during checkout are estimates and are not guaranteed. Weather, holidays, carrier operations, service interruptions, address issues, and other circumstances outside ICOINBOX's reasonable control may affect delivery.

ICOINBOX automatically selects the shipping carrier for each shipment based on the shipment's size, weight, destination, and delivery requirements. Orders may be shipped through USPS, UPS, FedEx, or a combination of these carriers. Carrier selection requests are not available.

Once any part of an order ships, ICOINBOX will send carrier and tracking information to the email address provided at checkout as that information becomes available.

If we cannot ship within the applicable period, we may request your consent to a delay or provide the cancellation and refund required by applicable law.

You are responsible for providing a complete and accurate delivery address. We are not responsible for delivery problems caused by an incorrect, incomplete, inaccessible, or outdated address supplied by you.

Additional shipping, tracking, delivery, and claim terms are stated in the Curated Surprise Box Order & Refund Policy.

15. TAXES

You are responsible for taxes or governmental assessments associated with your purchase, except to the extent ICOINBOX is legally required to collect, report, or pay them.

We may decline or cancel a transaction when fulfillment would violate applicable law, sanctions, carrier restrictions, payment restrictions, or product-specific limitations.

16. INSPECTION AND PRODUCT PROBLEMS

You should inspect each delivered package and the products it contains promptly after delivery.

Visible product damage, damaged packaging, or missing contents must be reported through the contact form on our website or by email at support@icoinbox.com as soon as possible and no later than seven calendar days after the recorded delivery date of the affected package.

When an order is shipped in multiple packages, a product is not considered missing solely because another package in the same order remains in transit according to its tracking information.

Other product defects must be reported promptly after discovery.

Your request should include, when applicable:

  • Your order number;
  • The name and email address used for the order;
  • The applicable carrier and tracking information;
  • A description of the problem;
  • Clear photographs or video showing the affected product or products and the reported issue;
  • Photographs of the applicable shipping box, internal packaging, and shipping label; and
  • Any other information reasonably requested by ICOINBOX or the shipping carrier.

You must retain the affected product or products, applicable shipping box, internal packaging, shipping label, and package contents until the review or carrier investigation is complete.

Failure to report a visible issue within seven calendar days, provide requested evidence, or retain the affected products and packaging may affect our ability to verify or resolve the issue, but it does not eliminate any right that cannot legally be waived.

Any remedy will be determined in accordance with the Curated Surprise Box Order & Refund Policy and applicable law.

17. RETURNS, CANCELLATIONS, AND PHYSICAL-PRODUCT REFUNDS

Except where required by law or expressly stated in the Curated Surprise Box Order & Refund Policy:

  • All paid Curated Surprise Box orders are final sale;
  • A paid Curated Surprise Box order cannot be canceled after payment confirmation;
  • A Curated Surprise Box cannot be returned or refunded merely because the customer changes their mind, dislikes one or more products received, expected different products, believes one or more products do not match personal preferences or expectations, receives one, two, or three products as determined by the curated selection, or disagrees with the usefulness, desirability, or perceived value of any product received;
  • Unauthorized returns may be refused; and
  • Original blockchain network fees, wallet fees, payment-processing fees, and other third-party transaction costs are nonrefundable.

A remedy may be available in the limited circumstances described in the Curated Surprise Box Order & Refund Policy, including when ICOINBOX does not ship or cannot fulfill the order, or when a qualifying loss, non-delivery, material damage, defect, or missing-content claim is verified. Depending on the verified issue and the portion of the order affected, the appropriate resolution may include replacement of one or more affected products, a partial refund, a full refund, or another remedy required by applicable law.

Approved refunds are calculated based on the original U.S.-dollar purchase price, not the amount or subsequent market value of the cryptocurrency originally used for payment.

For a $99 Curated Surprise Box, an approved full refund will equal $99 in cryptocurrency value at the time ICOINBOX initiates the refund transaction. Where a verified problem affects only part of a multi-product order, ICOINBOX may approve a partial refund instead of a full refund. Because product count is not a measure of value, a partial refund is not calculated by simply dividing $99 by the number of products in the order. The amount of an approved partial refund will reasonably reflect the affected portion of the order and the circumstances of the verified issue. The total amount refunded for a Curated Surprise Box order will not exceed the original $99 purchase price unless otherwise required by law.

Any increase or decrease in the value of the cryptocurrency originally used for payment does not increase or reduce the approved refund amount.

ICOINBOX will generally issue approved refunds using USDC, USDT, or another supported stablecoin on a blockchain network confirmed with the customer before the refund is sent.

You are responsible for providing and verifying a compatible wallet address and supported blockchain network. ICOINBOX is not responsible for refund funds lost because you provided an incorrect wallet address, selected an incorrect or unsupported network, or supplied incompatible wallet information.

Approved refunds are generally initiated within 1-3 business days after the refund is approved and all required wallet information has been confirmed.

Nothing in this Section limits rights that cannot legally be waived.

18. LOST, STOLEN, OR UNDELIVERABLE PACKAGES

If tracking for a package does not show successful delivery and the estimated delivery window has passed, contact ICOINBOX through the contact form on our website or by email at support@icoinbox.com.

ICOINBOX may review the affected shipment and coordinate an investigation or claim with the shipping carrier. Where legally permitted, we may require reasonable cooperation, photographs, packaging, supporting documentation, carrier confirmation, or a signed statement before determining the appropriate resolution.

If a package is confirmed lost or undeliverable through no fault of the customer, ICOINBOX will provide the appropriate resolution for the affected portion of the order in accordance with the Curated Surprise Box Order & Refund Policy. If the entire order cannot be delivered or replaced, an approved full refund will equal the original $99 purchase price.

If tracking shows that a package was delivered but you cannot locate it, you should first check the delivery location, household members, neighbors, building management, mailroom, and any delivery photograph or notice provided by the carrier. You must then promptly contact the carrier and ICOINBOX.

If a package is returned because you supplied an incorrect address, refused delivery, failed to collect the package, or failed to follow reasonable carrier instructions, you may be responsible for additional shipping, return, storage, or processing costs, and the affected portion of the order may not be eligible for a refund.

ICOINBOX is not responsible for theft, loss, or damage occurring after a package has been properly delivered to the shipping address provided with the order, except where applicable law provides otherwise.

19. ICOINBOX SUPPORTER NFTS

ICOINBOX may create and sell blockchain-based digital collectibles described as ICOINBOX Early Supporter NFTs or similar names ("ICOINBOX NFTs").

Unless a separate written offer expressly states otherwise, an ICOINBOX NFT is a digital collectible only.

Ownership of an ICOINBOX NFT does not provide:

  • Equity or ownership in ICOINBOX;
  • Shares or securities;
  • Profit-sharing rights;
  • Revenue rights;
  • Dividend rights;
  • Creditor rights;
  • Governance or voting rights;
  • Ownership of ICOINBOX intellectual property;
  • A right to control ICOINBOX operations;
  • A guaranteed product, service, reward, discount, access right, or utility;
  • A right to any future cryptocurrency, token, NFT, airdrop, allocation, or distribution;
  • A right to redemption by ICOINBOX;
  • A guarantee of liquidity, resale, listing, market support, or appreciation; or
  • A contractual commitment that ICOINBOX will complete any future development plan.

You must not purchase an ICOINBOX NFT with an expectation of profit based on the managerial or entrepreneurial efforts of ICOINBOX.

ICOINBOX does not promise to increase an NFT's value, create a secondary market, support a resale price, repurchase an NFT, provide liquidity, or take actions intended to generate a financial return for holders.

20. NFT PURCHASE RISKS

Before acquiring an ICOINBOX NFT, you acknowledge the risks associated with blockchain-based assets, including:

  • Complete loss of purchase value;
  • Extreme price volatility;
  • Lack of buyers or liquidity;
  • Smart-contract errors;
  • Blockchain failures;
  • Wallet compromise;
  • Loss of private keys;
  • Marketplace errors;
  • Metadata or hosting failures;
  • Intellectual-property disputes;
  • Forks or protocol changes;
  • Regulatory changes;
  • Taxes;
  • Fraudulent copies or impersonation collections; and
  • Permanent loss caused by sending an NFT or funds to an incorrect address.

You are solely responsible for evaluating these risks and obtaining independent legal, financial, and tax advice.

21. NFT SALES THROUGH THIRD-PARTY MARKETPLACES

ICOINBOX NFTs may be offered through OpenSea or another third-party marketplace.

Third-party marketplaces are independent services governed by their own terms, fees, smart contracts, privacy policies, and procedures.

ICOINBOX does not control and is not responsible for:

  • Marketplace availability;
  • Marketplace custody or wallet connectivity;
  • Marketplace fees;
  • Secondary-market transactions;
  • Marketplace rankings or displayed information;
  • Unauthorized or counterfeit listings;
  • Marketplace security incidents; or
  • Actions taken by marketplace operators.

Only NFT collections and listings linked through official ICOINBOX channels should be treated as official. You are responsible for confirming the collection, blockchain, token contract, token identifier, seller, price, and transaction details before purchasing.

Purchases completed through a third-party marketplace may also be subject to the marketplace's terms.

22. NFT SALES ARE FINAL

Because blockchain transfers are generally irreversible, ICOINBOX NFT purchases and transfers are final and nonrefundable, except where a refund is expressly required by applicable law or expressly offered by ICOINBOX in writing.

ICOINBOX is not responsible for secondary-market purchases, unauthorized listings, mistaken bids, mistaken transfers, excessive gas fees, or transactions involving unofficial collections.

23. LICENSE TO NFT ARTWORK

Subject to these Terms and while you lawfully own the applicable ICOINBOX NFT, ICOINBOX grants you a limited, non-exclusive, non-transferable, revocable license to display the artwork associated with that NFT for personal, non-commercial purposes.

The NFT itself may be transferred through the applicable blockchain. The license associated with the artwork transfers only to the extent stated in these Terms and ends when you no longer lawfully own the NFT.

Unless ICOINBOX provides separate written permission, you may not:

  • Use the artwork commercially;
  • Create or sell derivative products;
  • Use the artwork as a business logo or trademark;
  • Register intellectual-property rights in the artwork;
  • Modify the artwork in a misleading or harmful manner;
  • Suggest sponsorship, endorsement, partnership, or affiliation; or
  • Use the artwork in unlawful, defamatory, hateful, fraudulent, or deceptive content.

All intellectual-property rights not expressly granted are reserved by ICOINBOX and its licensors.

24. VOLUNTARY CRYPTOCURRENCY SUPPORT

ICOINBOX may allow users to submit voluntary cryptocurrency support or contributions to assist the project's operation and development.

A support contribution:

  • Is voluntary;
  • Is not a charitable donation;
  • Is not represented as tax-deductible;
  • Is not an investment;
  • Does not purchase equity, debt, securities, profit participation, governance, or ownership;
  • Does not entitle the contributor to products, services, NFTs, tokens, rewards, reimbursement, or future benefits unless expressly stated in a separate written offer;
  • Does not create a fiduciary relationship; and
  • May be used by ICOINBOX according to its operational priorities and discretion.

Support contributions are final and nonrefundable after blockchain confirmation, except where required by law.

Do not submit a support contribution unless you can afford to lose the entire amount without receiving anything in return.

25. NO COMMITMENT TO ISSUE A FUTURE TOKEN

ICOINBOX may discuss ideas, possibilities, research, or long-term concepts relating to blockchain technology or a possible future digital token.

No such statement constitutes a binding commitment, offer, promise, presale, allocation, investment opportunity, or guarantee that a token will ever be created, issued, distributed, listed, or provided to any person.

ICOINBOX may change, postpone, or abandon any token-related concept at any time.

Purchasing a product, acquiring an ICOINBOX NFT, submitting support, or using the website does not give you any right to receive a future token or participate in any future offering.

26. FORWARD-LOOKING STATEMENTS

The website may contain statements concerning possible plans, goals, development ideas, expected features, suppliers, products, markets, or future operations.

These statements are forward-looking, uncertain, and subject to change. They are not guarantees or contractual promises.

Actual results may differ materially due to funding, technical development, market conditions, regulation, suppliers, logistics, demand, security, business decisions, or events beyond our control.

You should not rely on forward-looking statements when making a financial, legal, tax, or purchasing decision.

27. PROHIBITED CONDUCT

You may not:

  • Use the Services for unlawful, fraudulent, deceptive, abusive, or harmful activity;
  • Violate sanctions, export controls, anti-money-laundering laws, tax laws, or consumer-protection laws;
  • Use stolen funds, stolen payment credentials, or compromised wallets;
  • Interfere with the website, blockchain transactions, checkout process, inventory, or security systems;
  • Introduce malware, automated attacks, scraping tools, bots, or malicious code;
  • Bypass access restrictions, purchase limits, geographic restrictions, or security controls;
  • Impersonate another person or misrepresent your identity, location, authority, or source of funds;
  • Manipulate NFT prices, trading volume, marketplace activity, product availability, reviews, or user activity;
  • Engage in wash trading, market manipulation, or deceptive transaction activity;
  • Copy, reverse engineer, modify, or exploit website software;
  • Infringe intellectual-property, privacy, publicity, or other rights;
  • Use ICOINBOX branding to create an unofficial token, NFT collection, website, account, or promotion;
  • Submit false claims relating to shipping, returns, refunds, or transactions; or
  • Use the Services in a manner that creates legal, operational, technical, or reputational risk for ICOINBOX or other users.
28. SUSPENSION AND TERMINATION

We may suspend, restrict, or terminate access to the Services when we reasonably believe that:

  • You violated these Terms;
  • Your activity may be unlawful;
  • Your transaction presents sanctions, fraud, security, payment, or compliance concerns;
  • Your use threatens ICOINBOX, its suppliers, service providers, or users;
  • Suspension is required by law or a governmental authority; or
  • The Services are modified or discontinued.

Termination does not affect rights, payment obligations, restrictions, disclaimers, or liabilities that arose before termination or that by their nature should survive.

29. INTELLECTUAL PROPERTY

The Services and all associated content, including names, logos, trademarks, text, graphics, photographs, designs, software, interfaces, databases, product presentation, website structure, and branding, are owned by or licensed to ICOINBOX and are protected by applicable intellectual-property laws.

Subject to these Terms, ICOINBOX grants you a limited, revocable, non-exclusive, non-transferable license to access and use the website for personal and lawful purposes.

You may not reproduce, modify, distribute, sell, sublicense, publicly display, commercially exploit, scrape, reverse engineer, or create derivative works from ICOINBOX content without prior written permission.

No license is granted by implication.

30. FEEDBACK AND USER SUBMISSIONS

If you submit feedback, ideas, suggestions, reviews, photographs, or other content to ICOINBOX, you represent that you have the right to submit it and that it does not violate applicable law or third-party rights.

You grant ICOINBOX a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, adapt, publish, display, distribute, and communicate the submitted content for operating, improving, supporting, and promoting the Services.

You may not submit unlawful, deceptive, infringing, confidential, defamatory, hateful, or malicious content.

We may remove user content at our discretion.

31. THIRD-PARTY SERVICES AND LINKS

The Services may depend on or contain links to third-party websites, wallets, payment providers, blockchains, marketplaces, carriers, suppliers, analytics providers, hosting providers, and other services.

ICOINBOX does not control third-party services and does not guarantee their availability, security, accuracy, legality, or performance.

Your use of third-party services is governed by the applicable third party's terms and policies.

A link or integration does not constitute endorsement.

32. PRIVACY

Our collection and use of personal information are governed by the ICOINBOX Privacy Policy, which is incorporated into these Terms by reference.

Personal information submitted through checkout, the website contact form, email, wallet interactions, order support, or other Service features may be processed as described in the Privacy Policy.

You are responsible for reviewing the Privacy Policy before using the Services or submitting personal information.

33. SECURITY

We use measures intended to protect the Services, but no website, wallet connection, blockchain, payment system, storage system, or Internet transmission can be guaranteed to be completely secure.

You are responsible for:

  • Securing your devices;
  • Protecting your wallet and private keys;
  • Verifying website addresses;
  • Avoiding phishing and impersonation accounts;
  • Using secure networks; and
  • Reviewing transaction details before approval.

ICOINBOX will never ask you to provide your private key or wallet seed phrase.

34. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, WEBSITE, BETA FEATURES, CONTENT, NFTS, SUPPORT FUNCTIONS, AND RELATED TECHNOLOGY ARE PROVIDED "AS IS" AND "AS AVAILABLE."

EXCEPT FOR EXPRESS PRODUCT OBLIGATIONS THAT CANNOT LEGALLY BE DISCLAIMED, ICOINBOX DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, RELIABILITY, AND ERROR-FREE OPERATION.

ICOINBOX DOES NOT WARRANT THAT:

  • THE SERVICES WILL ALWAYS BE AVAILABLE;
  • ERRORS OR DEFECTS WILL BE CORRECTED;
  • THE SERVICES WILL BE FREE FROM HARMFUL COMPONENTS;
  • A BLOCKCHAIN OR THIRD-PARTY SERVICE WILL OPERATE CONTINUOUSLY;
  • AN NFT WILL RETAIN OR INCREASE IN VALUE;
  • A SECONDARY MARKET WILL EXIST;
  • ANY FUTURE FEATURE, PRODUCT, TOKEN, OR DEVELOPMENT WILL BE COMPLETED; OR
  • THE SERVICES WILL MEET YOUR EXPECTATIONS.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS. IN THOSE JURISDICTIONS, THESE DISCLAIMERS APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

35. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ICOINBOX AND ITS OWNERS, AFFILIATES, PERSONNEL, CONTRACTORS, SUPPLIERS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, DIGITAL ASSETS, OR EXPECTED SAVINGS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ICOINBOX WILL NOT BE LIABLE FOR LOSSES ARISING FROM:

  • CRYPTOCURRENCY VOLATILITY;
  • BLOCKCHAIN OR SMART-CONTRACT EVENTS;
  • WALLET COMPROMISE;
  • INCORRECT TRANSACTIONS;
  • MARKETPLACE ACTIVITY;
  • THIRD-PARTY SERVICES;
  • UNAUTHORIZED ACCESS;
  • WEBSITE INTERRUPTION;
  • BETA ERRORS;
  • REGULATORY CHANGES;
  • PRODUCT DELAYS CAUSED BY EVENTS OUTSIDE OUR REASONABLE CONTROL; OR
  • RELIANCE ON FORWARD-LOOKING STATEMENTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ICOINBOX'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF:

  • ONE HUNDRED U.S. DOLLARS; OR
  • THE AMOUNT YOU PAID DIRECTLY TO ICOINBOX FOR THE SPECIFIC PRODUCT OR TRANSACTION GIVING RISE TO THE CLAIM.

THE LIMITATIONS IN THIS SECTION DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED, INCLUDING LIABILITY FOR FRAUD, WILLFUL MISCONDUCT, GROSS NEGLIGENCE, PERSONAL INJURY CAUSED BY NEGLIGENCE WHERE SUCH LIABILITY CANNOT BE WAIVED, OR NON-WAIVABLE CONSUMER RIGHTS.

36. INDEMNIFICATION

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless ICOINBOX and its owners, affiliates, personnel, contractors, suppliers, licensors, and service providers from claims, losses, liabilities, penalties, damages, judgments, and reasonable legal expenses arising from:

  • Your unlawful or unauthorized use of the Services;
  • Your violation of these Terms;
  • Your infringement of third-party rights;
  • Your violation of sanctions, tax, cryptocurrency, import, export, or other applicable laws;
  • Your fraudulent, deceptive, abusive, or negligent conduct; or
  • Content you submit.

This obligation does not require you to indemnify ICOINBOX for conduct for which indemnification may not lawfully be required.

37. FORCE MAJEURE

ICOINBOX is not liable for delay or failure caused by circumstances beyond its reasonable control, including natural disasters, severe weather, fire, flood, war, terrorism, civil unrest, epidemic, pandemic, labor disruption, government action, sanctions, regulatory change, customs action, supply-chain disruption, carrier failure, Internet outage, power failure, cyberattack, blockchain failure, smart-contract incident, third-party platform failure, or shortage of goods or services.

This Section does not eliminate refund, delivery, or other obligations that cannot legally be waived.

38. CHANGES TO THE SERVICES

We may modify, limit, suspend, replace, or discontinue any portion of the Services.

We are not obligated to continue any beta feature, product category, NFT-related feature, supporter function, payment option, supplier relationship, or future development plan.

Where legally required, we will honor obligations relating to accepted and paid orders or provide an appropriate refund.

39. CHANGES TO THESE TERMS

We may update these Terms to reflect changes in the Services, law, technology, security, or business practices.

The updated Terms will be posted with a revised Effective Date. Where required by law, we will provide additional notice or obtain renewed consent.

Changes will not retroactively eliminate rights or impose material obligations concerning a completed transaction where doing so would be unlawful.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms.

40. ELECTRONIC COMMUNICATIONS

You consent to receive transaction records, order communications, policy notices, and other legally permitted communications electronically.

Electronic communications satisfy any legal requirement that a communication be in writing, except where applicable law requires another method.

You are responsible for maintaining an accessible and accurate email address when one is provided.

41. INFORMAL DISPUTE RESOLUTION

Before filing a formal claim, you and ICOINBOX agree to attempt to resolve the dispute informally for at least thirty days.

A dispute notice must be sent by email to support@icoinbox.com with the subject line "Dispute Notice" and include:

  • Your name;
  • Your order number or relevant wallet address;
  • A description of the dispute;
  • The remedy requested; and
  • Supporting documentation.

General questions and order concerns may also be submitted through the contact form on our website. Formal dispute notices must be sent by email so that the date and contents of the notice can be verified.

This requirement does not prevent either party from seeking urgent relief when delay would cause immediate and irreparable harm.

42. INDIVIDUAL ARBITRATION AGREEMENT

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Except for disputes eligible for small-claims court, claims seeking emergency relief for intellectual-property infringement or unauthorized system access, and claims that applicable law does not permit to be arbitrated, you and ICOINBOX agree that disputes arising from or relating to these Terms or the Services will be resolved through binding individual arbitration rather than in court.

The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.

Arbitration will be administered by the American Arbitration Association ("AAA") under its then-current Consumer Arbitration Rules and Mediation Procedures, as modified by these Terms and subject to the AAA Consumer Due Process Protocol.

If the AAA is unavailable or declines to administer a dispute, the parties will attempt to select another nationally recognized arbitration provider whose consumer rules provide a substantially similar process. If the parties cannot agree, either party may ask a court of competent jurisdiction to appoint an arbitration administrator consistent with this Section.

The arbitration may occur by video, telephone, written submissions, or in person where reasonably required. You will not be required to travel outside the county or equivalent jurisdiction in which you reside unless you agree otherwise.

Arbitration fees will be allocated under the applicable AAA rules and mandatory law.

The arbitrator may award the same individual remedies that a court could award, but may award relief only to the individual party seeking relief and only to the extent necessary to resolve that party's individual claim.

ARBITRATION OPT-OUT

You may opt out of this arbitration agreement by emailing support@icoinbox.com within thirty days after first accepting these Terms.

The opt-out notice must state:

  • Your full name;
  • The email address or wallet address associated with your use of the Services; and
  • That you elect to opt out of the ICOINBOX arbitration agreement.

Opting out of arbitration will not affect the remaining provisions of these Terms.

43. CLASS ACTION AND JURY TRIAL WAIVER

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND ICOINBOX AGREE THAT EACH PARTY MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN A CLASS, COLLECTIVE, CONSOLIDATED, MASS, OR REPRESENTATIVE ACTION.

YOU AND ICOINBOX WAIVE THE RIGHT TO A JURY TRIAL TO THE MAXIMUM EXTENT PERMITTED BY LAW.

If a final decision determines that a particular claim or remedy cannot lawfully be subject to the class-action waiver or arbitration agreement, that claim or remedy will be severed and may proceed in a court of competent jurisdiction, while the remaining claims remain subject to arbitration.

44. GOVERNING LAW

The Federal Arbitration Act governs the arbitration provisions.

For matters not governed by the Federal Arbitration Act, these Terms are governed by the laws applicable to ICOINBOX at its principal place of business, without regard to conflict-of-law principles, while preserving any mandatory consumer protections that apply in your place of residence.

If a dispute is not subject to arbitration, it must be brought in a court of competent jurisdiction, subject to any venue rights that cannot legally be waived.

45. SEVERABILITY

If any provision of these Terms is held invalid, illegal, or unenforceable, it will be enforced to the maximum lawful extent or modified as necessary to make it enforceable.

The remaining provisions will continue in effect.

46. NO WAIVER

A failure or delay by ICOINBOX in exercising a right does not waive that right.

A waiver is effective only when made in writing by an authorized representative of ICOINBOX.

47. ASSIGNMENT

You may not assign or transfer your rights or obligations under these Terms without prior written permission.

ICOINBOX may assign or transfer these Terms in connection with a reorganization, financing, merger, acquisition, sale of assets, transfer of operations, or similar transaction, subject to applicable law.

48. ENTIRE AGREEMENT

These Terms, the Privacy Policy, the Curated Surprise Box Order & Refund Policy, applicable product-page disclosures, and any other policy expressly incorporated by reference constitute the entire agreement between you and ICOINBOX regarding the Services.

If a product page or checkout disclosure contains transaction-specific terms that conflict with these Terms, the transaction-specific terms control only for that transaction and only to the extent of the conflict.

If the Curated Surprise Box Order & Refund Policy contains a more specific term concerning a Curated Surprise Box order, shipping, claim, or refund, that more specific term controls to the extent of the conflict.

49. ENGLISH-LANGUAGE VERSION

The English-language version of these Terms controls.

Any translation is provided for convenience only. If a translation conflicts with the English version, the English version governs to the extent permitted by law.

50. PROJECT DISCONTINUATION, ASPIRATIONAL STATEMENTS, AND ASSUMPTION OF RISK

ICOINBOX is an early-stage BETA project and experimental crypto-commerce platform. Descriptions of ICOINBOX's concepts, objectives, plans, anticipated features, development ideas, ecosystem, marketplace, future products, digital assets, utilities, integrations, partnerships, expansion, or long-term vision are informational, aspirational, exploratory, and forward-looking only.

Such statements do not constitute binding promises, guarantees, warranties, contractual commitments, investment representations, or assurances that any stated objective, feature, product, service, digital asset, utility, marketplace, or development plan will be completed, launched, maintained, or made available.

To the maximum extent permitted by applicable law, ICOINBOX may, at any time and in its sole discretion, with or without prior notice:

  • Suspend, restrict, modify, reduce, or permanently discontinue the website or any portion of the Services;
  • Stop accepting new orders, NFT purchases, wallet connections, or new users;
  • Discontinue any product, feature, BETA test, supporter program, NFT-related activity, payment method, marketplace function, development plan, or proposed utility;
  • Close, deactivate, archive, rename, transfer, or discontinue any ICOINBOX website, social-media account, marketplace page, community channel, or other associated platform;
  • Abandon, postpone, replace, or materially change any previously described plan, vision, objective, timeline, product, service, NFT utility, ecosystem feature, or business model; or
  • Cease operating the ICOINBOX project in whole or in part.

Except where notice, performance, cancellation, reimbursement, refund, record retention, or another action is required by applicable law, ICOINBOX is not obligated to provide advance notice, an explanation, continued access, replacement services, continued website availability, preservation of content, preservation of social-media accounts, maintenance of NFT metadata, continued development, technical support, or compensation as a result of any such decision.

If ICOINBOX suspends or permanently discontinues operations, statements concerning future plans, anticipated services, proposed utilities, possible benefits, development objectives, or other discretionary future activities will cease to have prospective effect. No user, NFT holder, supporter, customer, follower, or other person acquires a right to require ICOINBOX to continue operating or complete a future plan.

You acknowledge and accept that:

  • ICOINBOX may never progress beyond its BETA or experimental stage;
  • The project may be unsuccessful, become commercially impracticable, encounter insufficient funding, or cease operating;
  • The website and associated social-media, marketplace, and third-party pages may become permanently unavailable;
  • Any anticipated NFT utility, supporter benefit, platform feature, service, product, or ecosystem development may never be created or delivered;
  • You may lose access to website content, platform functionality, support channels, project updates, or associated third-party pages;
  • ICOINBOX is not obligated to maintain a business, website, social-media presence, NFT project, marketplace, product line, or development team for any minimum period; and
  • You assume the risks arising from ICOINBOX's early-stage, experimental, and potentially temporary nature.

Your decision to visit ICOINBOX.com, follow an ICOINBOX social-media account, purchase an ICOINBOX NFT, use a BETA feature, or otherwise participate in an ICOINBOX-initiated activity is made voluntarily and with knowledge of these risks.

For an accepted and paid physical-product order, ICOINBOX will fulfill the order, cancel it and provide any refund required under these Terms or applicable law, or otherwise handle it in accordance with mandatory legal requirements. Project discontinuation does not eliminate an obligation relating to an accepted and paid physical-product order that cannot lawfully be waived.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ICOINBOX WILL NOT BE LIABLE FOR ANY LOSS ARISING SOLELY FROM THE PROSPECTIVE SUSPENSION, MODIFICATION, ABANDONMENT, OR DISCONTINUATION OF THE PROJECT, THE WEBSITE, ASSOCIATED SOCIAL-MEDIA ACCOUNTS, DISCRETIONARY FUTURE DEVELOPMENT, PROPOSED NFT UTILITIES, OR OTHER NON-BINDING FUTURE PLANS.

Nothing in this Section excludes liability for fraud, willful misconduct, or any obligation or consumer right that cannot lawfully be excluded, limited, or waived.

By accessing or using ICOINBOX.com, connecting a wallet, placing an order, purchasing an ICOINBOX NFT, submitting cryptocurrency support where such a feature is offered, or otherwise using the Services, you acknowledge that you have read, understood, and agreed to these Terms.
